Unless otherwise indicated in an order form, you must furnish EZcurtain with a valid credit card (Visa, MasterCard, or any other accepted issuer) (“Payment Provider”) as a condition for joining the Premium plan. Your Payment Provider agreement governs your use of the designated credit card account, and you must refer to that agreement—not these Terms—to determine your rights and liabilities concerning your Payment Provider. By providing EZcurtain with your credit card number and associated payment details, you grant EZcurtain permission to verify information immediately and subsequently bill your account for all fees and charges due and payable to EZcurtain hereunder, without requiring additional notice or consent. You are obligated to promptly update EZcurtain of any changes in your billing address or the credit card used for payment hereunder. EZcurtain reserves the right to adjust its prices and billing methods at any time, either immediately by posting on our Site or through e-mail delivery to your organization’s administrator(s).

Any attorney fees, court expenses, or other costs incurred in collecting overdue undisputed amounts are your responsibility.

A contract between you and EZcurtain for the Service will not exist until EZcurtain accepts your order through a confirmatory e-mail, SMS/MMS message, or another suitable communication method.

You are accountable for any third-party charges you may accrue while using the Service.

SECTION 14 - Duration and Conclusion
This Agreement remains valid until either you or EZcurtain terminates it.

EZcurtain reserves the right to suspend or terminate this Agreement at any time and for any reason, with or without prior notice, at its sole discretion.

This Agreement will terminate immediately, without prior notice from EZcurtain, if you breach any provision. You can also terminate this Agreement by removing the website and all its copies from your device.

After termination, you must halt all website usage and delete all copies from your device.

Termination does not impede EZcurtain's rights or remedies in case of your breach during the Agreement's term.

SECTION 15 - Copyright Violation Alert
If you believe any material on our website infringes your copyright, please contact us with the following details: (a) copyright owner's signature or authorized person's signature; (b) identification of the alleged infringing material; (c) your contact information; (d) a statement asserting your belief in unauthorized material usage; and (e) a statement affirming the notification's accuracy, under penalty of perjury.

Regardless of any harm you may face, the total liability of EZcurtainand its suppliers under any section of this Contract and your exclusive recourse for all such matters will be confined to the sum actually paid by you for the platform.

To the fullest extent permitted by applicable regulations, under no circumstances shall EZcurtainor its suppliers be liable for any extraordinary, accidental, indirect, or consequential damages of any kind (including, without limitation, damages for loss of revenue, data, or other information, business disruption, personal harm, loss of privacy stemming from or in connection with the use of or inability to use the platform, third-party software and/or hardware utilized with the platform, or otherwise linked to any section of this Contract), even if EZcurtainor any supplier has been made aware of the potential for such damages and even if the resolution fails to meet its essential objective.

Certain states/jurisdictions may not allow the exclusion or limitation of incidental or consequential damages, therefore the above cap or exclusion might not be valid for you.

SECTION 19 - Severability Clause
In case any part of this Contract is deemed unenforceable or invalid, such part will be amended and interpreted to fulfill the intentions of that part to the maximum extent allowed by law, and the remaining parts will continue to be fully valid and effective.

No waiver of any term of this Contract will be considered as a continuous waiver of such term or any other term, and failure by EZcurtainto enforce any right or provision under this Contract will not constitute a waiver of such right or provision. YOU AND EZcurtainAGREE THAT ANY CLAIM ARISING FROM OR RELATED TO THE SERVICES MUST BE INITIATED WITHIN ONE (1) YEAR AFTER THE CLAIM ARISES. OTHERWISE, SUCH CLAIM IS FOREVER BARRED.

SECTION 20 - Waiver Clause
Except as explicitly stated herein, the failure to exercise a right or demand performance of an obligation under this Contract will not impact a party's ability to exercise such right or demand such performance at any time thereafter, nor will the waiver of a breach be considered a waiver of any subsequent breach.

No failure to exercise, and no delay in exercising, by either party, any right or power under this Contract will act as a waiver of that right or power. Nor will any partial exercise of any right or power under this Contract prevent further exercise of that or any other right granted herein. In case of a conflict between this Contract and any relevant purchase or other terms, the terms of this Contract will prevail.

EZcurtainretains the right, at its sole discretion, to alter or replace this Contract at any time. In the event of a substantial revision, we will offer at least 30 days' notice before any new terms take effect. The determination of what constitutes a substantial change will be at our sole discretion.

By continuing to access or use our platform after any revisions become effective, you accept to be bound by the updated terms. If you disagree with the new terms, you are no longer authorized to use EZcurtain.

SECTION 22 - Comprehensive Agreement
This Contract serves as the complete agreement between you and EZcurtainconcerning your use of the platform, superseding all prior written or verbal agreements between you and EZcurtain.

You may be subject to additional terms and conditions that are applicable when you use or purchase other services of EZcurtain, which EZcurtain will provide to you at the time of such use or purchase.

This section applies to any dispute EXCEPT IT DOES NOT INCLUDE A DISPUTE RELATING TO CLAIMS FOR INJUNCTIVE OR EQUITABLE RELIEF REGARDING THE ENFORCEMENT OR VALIDITY OF YOUR OR EZcurtain’ INTELLECTUAL PROPERTY RIGHTS. The term “dispute” encompasses any dispute, action, or other controversy between you and EZcurtainregarding the Services or this agreement, whether in contract, warranty, tort, statute, regulation, ordinance, or any other legal or equitable basis. “Dispute” will be given the broadest possible meaning allowed under the law.

SECTION 26 - Dispute Notification
In the event of a dispute, you or EZcurtainmust provide the other with a Notice of Dispute, a written statement detailing the name, address, and contact details of the party issuing it, the facts leading to the dispute, and the requested relief. You must send any Notice of Dispute via email to: support@ezcurtain.com. EZcurtainwill send any Notice of Dispute to you by mail to your address if available or otherwise to your email address. You and EZcurtainwill seek to resolve any dispute through informal negotiation within sixty (60) days from sending the Notice of Dispute. After sixty (60) days, either you or EZcurtainmay initiate arbitration.

SECTION 27 - Mandatory Arbitration
If you and EZcurtainfail to resolve a dispute through informal negotiation, any further attempt to resolve the dispute will be exclusively through binding arbitration as outlined in this section. You are waiving the right to litigate all disputes in court before a judge or jury (or participate as a party or class member). The dispute will be settled through binding arbitration following the commercial arbitration rules of the American Arbitration Association. Either party may seek interim or preliminary injunctive relief from any court with jurisdiction, as needed to safeguard the party’s rights or property until the arbitration is completed. The prevailing party will have all legal, accounting, and other costs, fees, and expenses borne by the party that does not prevail.

SECTION 28 - Submissions and Confidentiality
If you submit or post ideas, creative suggestions, designs, photographs, information, advertisements, data, or proposals, including ideas for new or improved products, services, features, technologies, or promotions, you explicitly agree that such submissions will be treated as non-confidential and non-proprietary and will become the sole property of EZcurtainwithout any compensation or acknowledgment to you. EZcurtainand its affiliates will have no obligations regarding such submissions or posts and may utilize the concepts within them for any purposes in any medium indefinitely, including but not limited to developing, manufacturing, and promoting products and services based on those ideas.

SECTION 29 - Special Offers
EZcurtain may periodically introduce challenges, deals, raffles, or other engagements ("Special Offers") that necessitate the submission of personal materials or details. Please be aware that all Special Offers might be regulated by distinct regulations containing specific qualifications like age and location restrictions. It is your responsibility to review all Special Offers regulations to ascertain your eligibility for participation. By entering any Special Offer, you agree to adhere to and comply with all Special Offer Regulations.

SECTION 30 - Errors in Print
If a product and/or service is listed at an incorrect price or with inaccurate information due to a typographical mistake, we reserve the right to decline or annul any orders placed for the product and/or service listed at the incorrect price. We retain the right to reject or cancel such orders regardless of whether the order has been confirmed and your credit card has been charged. In the event that your credit card has already been charged for the purchase and your order is canceled, we will promptly issue a credit to your credit card account or alternative payment account for the amount of the charge.
